INTRODUCTION:

Welcome to Ninety4MGMT ("Ninety4MGMT," "Company," "we," "us," or "our").

These Website Terms & Conditions and Services Agreement ("Agreement" or "Terms") govern your access to and use of www.ninety4mgmt.com (the "Website") and your purchase or use of any services, memberships, consultations, management services, events, programs, products, or other offerings provided by Ninety4MGMT (collectively, the "Services").

By accessing the Website, submitting an inquiry, booking a consultation, purchasing a membership, purchasing or attending an event, submitting an application, entering into a client relationship, or otherwise using our Services, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, do not use the Website or purchase or use the Services.

1. ABOUT NINETY4MGMT

Ninety4MGMT is a management, consulting, branding, strategy, creator-support, and event-related company serving creators, entrepreneurs, artists, brands, venues, and other professionals.

Services may include creator and talent management, brand development, strategic consulting, business support, networking opportunities, events, brand partnerships, deal support, content-related support, and other services described on the Website or in a separate agreement.

Specific Services may vary depending upon the service, membership, package, or agreement purchased.

2. ELIGIBILITY

You must be at least 18 years old to independently enter into an agreement with Ninety4MGMT unless otherwise permitted by applicable law and authorized by a parent, legal guardian, or other authorized representative.

By using the Website or purchasing Services, you represent that:

  • You are legally capable of entering into an agreement;
  • The information you provide is accurate and complete;
  • You have authority to enter into any agreement you enter into with Ninety4MGMT; and
  • You will comply with these Terms and applicable laws.

3. SERVICES

Ninety4MGMT may provide Services including, but not limited to:

  • Creator management; Talent management; Brand strategy; Personal branding; Business strategy; Entrepreneur support; Social-media strategy; Brand partnership support; Deal and opportunity support; Event production and management; Networking opportunities; Creator events and mixers; Consultations; Strategy sessions; Educational and professional-development resources; Safe streaming or content-creation spaces; Membership programs; and Other services identified by Ninety4MGMT.

Ninety4MGMT reserves the right to modify, add, discontinue, or change Services, provided that such changes do not unlawfully eliminate contractual rights already purchased by a client.

4. CONSULTATIONS AND STRATEGY SESSIONS

Certain Services may be provided through consultations, strategy sessions, meetings, or other scheduled appointments.

A consultation or strategy session does not automatically establish an ongoing management relationship.

Unless otherwise agreed in writing, a consultation provides advice, discussion, strategy, or recommendations based on information provided by the client.

Payment for a consultation does not automatically create an exclusive management relationship, representation relationship, partnership, employment relationship, joint venture, or agency relationship.

5. MANAGEMENT SERVICES

Management Services may require a separate written agreement.

A creator, artist, entrepreneur, brand, or other client is not considered a managed client solely because the person: Uses the Website; Purchases a consultation; Purchases a membership; Attends a Ninety4MGMT event; Participates in a networking opportunity; or Communicates with Ninety4MGMT.

An ongoing management relationship will exist only when Ninety4MGMT and the client enter into an applicable written management agreement or other written arrangement establishing the relationship.

The management agreement may establish the scope of representation, compensation, commissions, exclusivity, term, termination rights, intellectual-property rights, responsibilities, and other applicable terms.

6. MEMBERSHIPS

Ninety4MGMT may offer membership programs or membership tiers.

Membership benefits, pricing, duration, access, availability, and limitations will be disclosed at the time of enrollment.

Membership may provide access to certain resources, consultations, events, community opportunities, educational materials, networking opportunities, or other benefits.

Membership does not guarantee: Income; Brand deals; Sponsorships; Employment; Followers or audience growth; Social-media growth; Viral content; Business success; Talent representation; Guaranteed bookings; Guaranteed event participation; or Any particular financial or professional result.

Membership benefits may change from time to time as Ninety4MGMT develops or updates its programs.

7. FEES AND PAYMENT

All applicable prices and fees will be displayed on the Website, invoice, booking page, membership page, proposal, or other written communication.

Unless otherwise stated: Payment is due at the time specified during purchase or booking; A service, consultation, membership, or event registration is not confirmed until required payment has been received; You are responsible for providing accurate payment information; You authorize Ninety4MGMT and its authorized payment processor to process applicable charges; Failure to make required payments may result in suspension or termination of Services.

Additional fees may apply to Services that are outside the original scope of an agreement.

8. RECURRING MEMBERSHIP PAYMENTS

If you purchase a recurring membership, you authorize Ninety4MGMT or its payment processor to charge the payment method provided at the applicable recurring interval.

You are responsible for canceling recurring services in accordance with the applicable cancellation policy.

Cancellation of a membership does not automatically entitle you to a refund for a period that has already begun unless otherwise required by law or expressly stated in the applicable membership terms.

9. CANCELLATIONS, RESCHEDULING AND REFUNDS

Cancellation and refund policies may differ depending upon the Service.

The applicable cancellation, rescheduling, and refund terms will be provided at the time of purchase or booking.

Unless otherwise stated: Services already performed are generally non-refundable; Deposits or retainers may be non-refundable to the extent permitted by law; Missed appointments may be treated as cancellations; Event tickets may be subject to separate event-specific policies; Membership cancellations affect future billing and do not necessarily result in refunds for the current billing period.

Nothing in this Agreement eliminates any refund, cancellation, or consumer rights that cannot legally be waived.

10. CLIENT RESPONSIBILITIES

Clients agree to: Provide accurate information; Provide materials requested by Ninety4MGMT; Meet applicable deadlines; Communicate professionally; Make required payments; Attend scheduled meetings and appointments; Respect other clients, creators, artists, guests, staff, vendors, and event participants; and Comply with applicable laws and policies.

Ninety4MGMT is not responsible for delays or inability to perform Services caused by inaccurate, incomplete, or untimely information supplied by a client.

11. NO GUARANTEE OF RESULTS

Ninety4MGMT will use reasonable efforts to provide the Services purchased by a client.

However, no specific result is guaranteed unless expressly stated in a separate written agreement.

Ninety4MGMT does not guarantee any particular: Income; Revenue; Sponsorship; Brand partnership; Contract; Booking; Audience growth; Follower growth; Social-media performance; Business valuation; Employment opportunity; Event attendance; or Other financial or professional outcome.

Results can depend upon factors outside the Company's control, including market conditions, platform algorithms, audience behavior, client participation, third parties, timing, competition, and changes in social-media platforms or industry conditions.

12. THIRD-PARTY PLATFORMS AND SERVICES

Ninety4MGMT may work with or refer clients to third-party platforms, businesses, venues, payment processors, social-media platforms, brands, agencies, contractors, or other service providers.

Ninety4MGMT does not control third-party platforms and is not responsible for their independent policies, terms, availability, actions, or decisions.

Your use of third-party services may be governed by separate terms.

13. EVENTS

Ninety4MGMT may organize or participate in events, mixers, networking events, creator events, workshops, conferences, or other gatherings.

Event-specific terms may apply.

Ninety4MGMT reserves the right to deny admission or remove an attendee when reasonably necessary to maintain safety, professionalism, or compliance with event rules.

Tickets, registrations, and event fees may be subject to separate cancellation and refund policies.

Event dates, locations, speakers, performers, vendors, or other participants may change when circumstances require.

14. CONDUCT

You agree not to engage in conduct that is unlawful, threatening, abusive, discriminatory, harassing, fraudulent, disruptive, or otherwise inappropriate.

Ninety4MGMT may suspend or terminate access to Services, memberships, events, communities, or other offerings when a person's conduct violates applicable policies or creates a safety or operational concern.

Where appropriate, Ninety4MGMT may also restrict future participation in Company programs or events.

15. INTELLECTUAL PROPERTY

The Website and Company materials—including the Ninety4MGMT name, logo, branding, written materials, graphics, videos, photographs, designs, educational materials, templates, systems, and other content—are owned by or licensed to Ninety4MGMT unless otherwise indicated.

You may not reproduce, sell, distribute, modify, publicly display, or commercially exploit Company materials without written permission.

Purchasing a Service does not transfer ownership of Ninety4MGMT intellectual property to you.

16. CLIENT CONTENT

Clients may provide photographs, videos, logos, social-media content, trademarks, written materials, business information, and other materials to Ninety4MGMT.

You represent that you have the right to provide those materials and authorize Ninety4MGMT to use them for the purpose for which they were provided.

You retain ownership of your original Client Content unless otherwise agreed in writing.

17. MARKETING AND PROMOTIONAL USE

When separately authorized by the client, Ninety4MGMT may use approved photographs, videos, testimonials, logos, social-media content, or other materials for marketing and promotional purposes.

Ninety4MGMT will not represent that a client endorses the Company when no such endorsement exists.

Where a separate release or written authorization is required, Ninety4MGMT will obtain the applicable authorization.

18. CONFIDENTIALITY

Ninety4MGMT may receive confidential business, financial, creative, strategic, or personal information from clients.

Ninety4MGMT will use reasonable care to protect confidential information received in connection with Services.

Confidential information does not include information that is publicly available, independently developed, previously known without a confidentiality obligation, or required to be disclosed by law.

Additional confidentiality obligations may be established through a separate agreement.

19. PRIVACY

Your use of the Website and Services may involve the collection and processing of personal information.

Ninety4MGMT's collection and use of personal information is governed by its Privacy Policy. By using the Website, you acknowledge that you have reviewed the applicable Privacy Policy.

20. WEBSITE USE

You agree to use the Website only for lawful purposes. You may not: Attempt unauthorized access to the Website; Interfere with Website operations; Introduce malicious software; Scrape or systematically copy Website content without permission; Impersonate another person; Commit fraud; Violate another person's rights; or Use the Website for unlawful purposes.

Ninety4MGMT may restrict or terminate access to the Website for violations of these Terms.

21. DISCLAIMER OF PROFESSIONAL ADVICE

Information provided through the Website, consultations, educational materials, or Services is not intended to constitute legal, tax, accounting, medical, investment, or other professional advice unless expressly stated otherwise.

Clients should consult an appropriately licensed professional when professional advice is required.

22. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Ninety4MGMT and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be responsible for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Website or Services.

To the extent permitted by applicable law, Ninety4MGMT's total liability arising from a particular Service will not exceed the amount actually paid to Ninety4MGMT for that specific Service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

23. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ninety4MGMT and its owners, officers, employees, contractors, agents, affiliates, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from: Your violation of these Terms; Your unlawful conduct; Your violation of another person's rights; Materials you provide to Ninety4MGMT; or Your misuse of the Website or Services.

24. TERMINATION

Ninety4MGMT may suspend or terminate Services when permitted by the applicable agreement or law.

Termination does not eliminate obligations that accrued before termination.

Provisions concerning payment, intellectual property, confidentiality, liability, indemnification, dispute resolution, and other provisions intended to survive termination will remain effective.

25. FORCE MAJEURE

Ninety4MGMT will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, emergencies, internet or technology failures, labor disruptions, third-party platform failures, acts of war, or other extraordinary circumstances.

26. CHANGES TO THESE TERMS

Ninety4MGMT may update these Terms from time to time.

The updated version will be posted on the Website with a revised "Last Updated" date. Where required by law, Ninety4MGMT will provide additional notice of material changes.

Continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

27. GOVERNING LAW

These Terms are governed by the laws of the State of Arizona, except to the extent applicable law requires otherwise.

Any dispute will be handled in a court of competent jurisdiction in Arizona unless the parties have entered into a separate written agreement providing for another lawful dispute-resolution procedure.

28. DISPUTE RESOLUTION

Before filing a formal legal claim, the parties agree to make a good-faith effort to resolve the dispute informally.

The party raising a dispute should provide written notice describing the nature of the dispute and requested resolution.

Nothing in this section prevents either party from seeking legally available emergency or injunctive relief.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

30. NO WAIVER

A failure by Ninety4MGMT to enforce any provision of these Terms does not constitute a waiver of the Company's right to enforce that provision later.

31. ENTIRE AGREEMENT

These Terms, together with any applicable Privacy Policy, membership terms, refund policy, event rules, service agreement, management agreement, proposal, invoice, or other written agreement incorporated by reference, constitute the agreement between you and Ninety4MGMT concerning the applicable Website use or Services.

32. ELECTRONIC ACCEPTANCE

By clicking "I Agree," "Accept," "Book Now," "Purchase," "Submit," or a substantially similar button or checkbox, submitting an electronic form, purchasing Services, or otherwise electronically accepting these Terms, you agree that your electronic acceptance constitutes your agreement to these Terms to the extent permitted by applicable law.
